TBA – ironSource Confirms $11B SPAC Deal With Thoma Bravo To Go Public: What You Need To Know

U.S. private equity firm Thoma Bravo’s blank-check company Thoma Bravo Advantage (NYSE: TBA) has reached an agreement to take Israeli mobile monetization company ironSource public through a merger that values the combined business at $11.1 billion, the companies said on Sunday.

What Happened: Thoma Bravo Advantage, a special purpose acquisition company, or SPAC, will help fund the deal with $1.3 billion of new investment from a group of blue-chip asset managers that include Tiger Global Management, Wellington Management and Seth Klarman’s Baupost Group. Bloomberg first reported the news last week, citing people familiar with the matter.

Under the terms of the deal, ironSource shareholders will receive $10 billion, including $1.5 billion of cash and a majority of shares in the combined company. ironSource is expected to have $740 million of cash upon completion.

Orlando Bravo, founder and managing partner of Thoma Bravo, the private equity giant behind the SPAC, will join the board of ironSource at the closing of the deal.

Why It Matters: Tel Aviv-based IronSource is a software company that counts app creators among its users. The company co-founded by Tomer Bar Zeev has described itself as “profitable from almost day one.”

Under Bravo, the firm has built a reputation for buying cloud software companies, keeping existing management in place and backing them in a way more akin to venture capital. 

ironSource posted 2020 revenue and adjusted EBITDA of $332 million and $104 million, respectively.

Price Action: TBA shares closed at $10.82 on Friday.

TBA – App Software Platform ironSource To Go Public Via SPAC

ironSource, which helps developers scale apps, is going public by merging with special purpose acquisition company (SPAC) Thoma Bravo Advantage in a transaction that values the emerging company at about $11.1 billion, according to a press release.

SPACs offer an increasingly popular way for privately-held businesses to convert into publicly-traded companies.

Tel Aviv, Israel-based ironSource stated in the release that in 2020, it earned $104 million on revenue of $332 million, marking year-over-year growth of 83 percent. The company also said its “core addressable market [is] projected to grow to as much as $41 billion by 2025.”

The transaction will produce about $2.3 billion in cash proceeds, the release stated, and after certain payments, unrestricted cash of about $740 million.

Among investors involved in the transaction, the release stated, are funds managed by: Tiger Global Management, Counterpoint Global (Morgan Stanley), Nuveen, Hedosophia, Wellington Management, The Baupost Group, and some Fidelity Investments funds.

Transaction Overview

Thoma Bravo Advantage has agreed to combine with ironSource based on a $11.1 billion pro forma equity valuation and the transaction is supported by a $1.3 billion oversubscribed Class A ordinary share PIPE led by a $300 million investment by an affiliate of Thoma Bravo, as well as investments from Tiger Global Management, LLC, Counterpoint Global (Morgan Stanley), Nuveen, LLC, Hedosophia, Wellington Management, The Baupost Group, and certain funds managed by Fidelity Investments Canada ULC and other institutional investors.

The transaction, which has been unanimously approved by the Boards of Directors of ironSource and Thoma Bravo Advantage, is expected to close in the second quarter of 2021, subject to customary closing conditions, including approval by Thoma Bravo Advantage’s shareholders.

Shares issued to the sponsor of Thoma Bravo Advantage will be subject to a 12-month lock-up with limited releases based on the trading price of the shares following the 150th day after the closing of the transaction; nearly all of ironSource’s shareholders will be subject to a 6-month lock-up after the closing of the transaction, subject to the same early release applicable to Thoma Bravo Advantage.

Following the closing of the transaction, ironSource will have a dual class equity structure whereby current shareholders of ironSource will own Class B ordinary shares with five votes per share and holders of Class A ordinary shares, including Thoma Bravo Advantage’s shareholders, will have one vote per share.

After giving effect to the transaction and assuming no redemptions by the Thoma Bravo Advantage shareholders, the company is expected to have approximately $740 million of unrestricted cash.

Total consideration to ironSource shareholders will be $10 billion, which is expected to be comprised of $1.5 billion in cash consideration and a majority of the shares of the combined company.

Upon completion of the transaction, the combined company will retain the ironSource Ltd. name.
